These Terms of Service ("Terms") govern your access to and use of the website runotto.com and any products or services offered by RunOtto LLC ("RunOtto," "we," "us," or "our"), including our Territory Dossier products. By accessing our website or purchasing our products, you agree to these Terms.

If you do not agree to these Terms, do not use our website or purchase our products.

2. Our Products

RunOtto compiles and sells commercial business data products ("Territory Dossiers") consisting of verified business information — such as business names, contact details, and decision-maker information — for a defined trade vertical (e.g., HVAC, plumbing, electrical) within a defined geographic territory.

Exclusivity

Where a Territory Dossier is marketed as "exclusive," it means RunOtto will not sell that same dossier (i.e., the same trade vertical within the same geographic territory) to another customer for the stated exclusivity period (typically six (6) months) from the date of purchase, as specified at the time of sale. Exclusivity applies only to the specific trade vertical and territory purchased, and does not restrict RunOtto from selling dossiers covering different trade verticals or different territories to other customers, including during the exclusivity period.

Data Accuracy

While we take reasonable steps to verify and enrich the business data included in our Territory Dossiers (including automated verification tools), business information changes over time. We do not guarantee that every contact, phone number, email address, or decision-maker name will remain accurate or current after delivery. Dossiers are provided on an "as-is" basis with respect to data currency.

3. Purchases and Payment

  • All prices are listed in U.S. dollars unless otherwise stated.
  • Payment is due at the time of purchase unless otherwise agreed in writing.
  • Access to or delivery of a Territory Dossier will be provided after payment is received.

Refund Policy

Due to the nature of digital data products, all sales are final once a Territory Dossier has been delivered, except where required by law or as separately agreed in writing between RunOtto and the customer prior to purchase.

4. Permitted Use of Territory Dossiers

When you purchase a Territory Dossier, RunOtto grants you a limited, non-exclusive (except as described in Section 2), non-transferable license to use the data for your own internal business marketing and sales purposes.

You may not:

  • Resell, sublicense, or redistribute the Territory Dossier, in whole or in part, to any third party
  • Share the Territory Dossier with competitors within the same trade vertical and territory
  • Use the data for any unlawful purpose, including in violation of applicable telemarketing, email marketing, or data privacy laws

You are solely responsible for ensuring your own use of the data (including any calls, emails, or mailings you conduct using it) complies with applicable law, including the TCPA and CAN-SPAM Act.

5. Website Use

You agree to use runotto.com only for lawful purposes. You may not:

  • Attempt to gain unauthorized access to our systems
  • Use automated means (e.g., scraping or bots) to extract content from our website without our permission
  • Interfere with the normal operation of our website

6. Intellectual Property

All content on runotto.com, including text, graphics, logos, and the compilation and formatting of data within our Territory Dossiers, is owned by or licensed to RunOtto and is protected by applicable intellectual property laws. Purchasing a Territory Dossier does not transfer ownership of the underlying compilation or any RunOtto branding or materials.

7. Disclaimer of Warranties

Our website and products are provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our data is complete, error-free, or will result in any particular business outcome (such as sales, leads, or revenue).

8. Limitation of Liability

To the fullest extent permitted by law, RunOtto LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or lost business opportunities, arising out of or related to your use of our website or products, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising out of these Terms or your purchase of a Territory Dossier shall not exceed the amount you paid for the specific product giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless RunOtto LLC, its members, and its agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising out of your misuse of our products or your violation of these Terms or applicable law.

10. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Los Angeles County, California.

11. Changes to These Terms

We may update these Terms from time to time. The "Effective Date" at the top of this page reflects the most recent revision. Continued use of our website or products after changes take effect constitutes acceptance of the revised Terms.
